LICENSING AND CONTRACTING AGREEMENTS

Typically, ASI solutions include a combination of products and consulting services. These offerings are available with flexible purchasing options that are described below. We will be glad to make pro forma copies of our Agreements and Statements available to you at appropriate points during your evaluation process.

Software Licensing and Maintenance Agreement
ASI licenses our software through a standard Software License and Maintenance Agreement. Customers may license the use of such PreAct®  -enabled applications such as  eValue® (Supply Chain Event Management Solution).

Alternatively, ASI will price our technology on a subscription basis, and make it available for specified periods of time of according to any of several usage metrics that are satisfactory to both parties.

ASI does not license our core PreAct® cognitive engine directly to end-user customers.  However, PreAct® is available to software companies through ASI’ Partner Development Program (click for more information about this program).

Technical Consulting Services
ASI’s direct customers and Partners often engage us for consulting services to customize our solutions to their specific needs. We normally work on a fixed-price contract basis for these services, although exceptions can be accommodated.

When engaged for consulting services, ASI executes a Master Contract Agreement with specific Statements of Work attached.  ASI professionals can be responsible for any or all phases of the project life cycle, including:

• Project management
• Systems analysis
• Application development and testing
• All levels of programming and system integration
• Implementation
